Management for DAO Entities & Wrappers

What DAO Entity Management Means in Practice

What DAO Entity Management Means in Practice

Our DAO entity management service is an all-in-one solution that supports key operational needs of a DAO legal entity or wrapper. From day-to-day operations, paperwork, and payments to compliance, filings, and reporting, we handle the core responsibilities required to keep the entity functional, secure, and compliant — especially the tasks that core contributors may lack capacity for or prefer to delegate.

This service is designed to equip decentralized organizations with everything required to operate a compliant, structured legal entity. DAObox manages all critical functions and day-to-day execution through our internal team assigned to your structure on an as-needed basis. We are legally bound to act within the mandate granted by the DAO and in accordance with member decisions, ensuring that the DAO retains ultimate control over its entity. Unlike passive nominees, we take on real operational responsibility and deliver measurable value, ensuring your legal wrapper functions smoothly.

We can step in at any stage of your wrapper’s lifecycle — whether during initial structuring and formation or after the entity is already incorporated. If engaged early, DAObox can serve as the legal founder of the entity, undergoing all required KYC and regulatory checks ourselves. This approach protects DAO contributors from additional exposure, allowing your core team to stay pseudonymous where permitted (excluding designated UBOs).

What’s Included in Scope

What’s Included in Scope

Just like any traditional legal entity, a DAO entity requires operational management and administration. However, most decentralized organizations lack experience with legal entity management, and core contributors often prefer to avoid doxxing, legal exposure, or the complexities of traditional corporate structures.

By engaging DAObox as an independent entity manager, DAOs gain more than just compliance coverage. We provide professional oversight, ensure operational transparency, and reduce the risk of errors in filings, governance execution, and third-party communications. This solution also allows the DAO to consolidate multiple essential functions into one streamlined, cost-effective model – replacing many of the service providers and professionals the entity would otherwise require. Control, Security & DAO Protection

Control, Security & DAO Protection

It is essential that the DAO retains ultimate and final control over its legal wrapper. Accordingly, DAObox is legally obligated to comply with resolutions adopted by DAO members and act in accordance with their instructions. We are further required to act in the best interests of the DAO entity, in strict compliance with its statutory documents and within the mandate granted by the DAO.

The DAO may impose additional restrictions on our authority at any time, such as limiting material or substantial transactions, the disposal of intellectual property, or asset transfers – none of which may proceed without prior authorization through a DAO member resolution. Typically, fund allocations will follow a budget adopted on a quarterly, semi-annual, or annual basis by the DAO.

In this capacity, DAObox provides regular reports to DAO members on the legal wrapper’s operations and prepares financial statements for public review. Ultimately, the DAO retains full authority and may remove or replace DAObox as manager at any time, with or without cause.

KYC, Identity & Contributor Doxxing

KYC, Identity & Contributor Doxxing

In order to complete the formation of a legal wrapper, and subsequently on an ongoing basis, at least one controlling person has to undergo KYC checks with the registered agent and government authorities. This requirement extends to the persons acting as directors or officers within the DAO entity, and ultimate controlling persons (UBOs) – typically those with 25% or more of voting power.

Engaging DAObox to manage a DAO entity means we assume a formal position within the legal structure — such as managing member, director, or supervisor. This allows DAObox to complete all necessary KYC checks and identifications on behalf of the entity, without requiring DAO members or contributors to disclose their identities, take on legal exposure, or assume managerial responsibility (except for the designated UBOs).

Packages and Pricing

Packages and Pricing

We offer flexible pricing through structured packages tailored to different DAO functions. The standard monthly management fee is $6250, which covers all essential components required for day-to-day legal entity operations. This includes paperwork, contributor engagements, payments, infrastructure and socials upkeep, and more. Discounted rates are available for specialized DAO entities, with treasury entity management offered at $3500 per month and IP-holding entity management at $3000 per month.

All packages include, if needed, DAObox serving as a delegate multi-sig signee to support governance and operational continuity. In addition to the monthly fee, we charge a one-time incentive equal to the annual fee, payable in the DAO’s native token, to align long-term incentives. A minimum one-year contract is required to ensure consistency and effective management.

How Our Engagement Process Works

How Our Engagement Process Works

Our process is flexible, DAO-native, and built to accommodate different governance flows. Engagement can begin either publicly — via a forum post or governance thread — or privately, through direct discussions with founders or DAO core contributors.

We adapt to your coordination style. We start with an initial consultation to understand the DAO’s structure, needs, and goals. Based on that, DAObox prepares a clear proposal outlining responsibilities, terms, and next steps. The DAO can review the proposal, open discussion, and — if needed — submit it for a community vote.

DAObox remains accountable through regular reporting, transparent updates, and and insights into fiscal administration, ensuring the DAO retains full control over the entity and is aware of all critical aspects of its operations.
